Terms and conditions

The agreement between you and Convomatic for using our website, the app and the API.

  1. 01

    The agreement

These terms are an agreement between you and Lumoonix Innovation Private Limited (“Convomatic”, “we”, “us”) for using the Convomatic website, app and API (the “service”). By creating an account or using the service you accept these terms and our Privacy policy. If you accept them for a company, you confirm you are allowed to bind it, and “you” means that company.

The service is for businesses. You must be at least 18 and use it for your trade, business or profession.

  2. 02

    Your account

    • Give accurate details and keep them up to date.
    • Keep your sign-in secure. You are responsible for what happens under your account and in your projects, including what the team members you invite do.
    • Tell us straight away at info@convomatic.com if you think someone has used your account without permission.
    • API keys belong to a project. Treat them like passwords and revoke any that may have leaked.
  3. 03

    Your WhatsApp Business Account

Your WhatsApp Business Account, phone number, display name, templates and quality rating belong to you and are held with Meta, not with us. If you leave Convomatic, they leave with you.

Using WhatsApp means accepting Meta’s terms as well as ours, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and, if you sell through WhatsApp, the WhatsApp Commerce Policy. Meta decides whether to approve templates, display names and numbers, sets messaging limits and quality ratings, and can restrict or ban an account. We cannot override those decisions.

Convomatic is independent software built on Meta’s WhatsApp Business Cloud API. We are not Meta, a Meta partner, or a reseller of WhatsApp messages.

  4. 04

    Acceptable use

You agree not to use Convomatic to:

    • Message people who have not agreed to hear from you on WhatsApp, or keep messaging people who have opted out.
    • Send spam, or content that is unlawful, misleading, abusive, hateful or sexually explicit, or that infringes someone else’s rights.
    • Promote or sell anything Meta’s policies or the law prohibit, such as drugs, weapons, real-money gambling or adult services.
    • Collect or use personal information without a lawful basis, or in breach of the Digital Personal Data Protection Act, 2023 or any other law.
    • Impersonate a person or business, or hide who is sending a message.
    • Break, probe, overload or get around the security or limits of the service, or copy, resell or reverse-engineer it.

You are responsible for getting the consents and giving the notices that the law and Meta require for every contact you message. We may pause sending, or suspend an account, to stop a breach of this section or of Meta’s policies, and we will tell you why.

  5. 05

    Plans, fees and billing

The Free plan costs nothing. Paid plans and add-ons are charged at the prices on our Pricing page when you subscribe, in Indian rupees, plus GST and any other tax that applies.

Paid plans are billed in advance for each billing period and continue until you cancel. Cancelling stops the next charge; you keep the paid plan until the end of the period you have paid for.

Fees already paid are not refundable, including for a partly used period, unless the law requires a refund or we agree to one in writing.

We may change our prices. A new price applies from your next billing period, and we will tell you at least 30 days before. If a payment fails, we may move the project to the Free plan or pause paid features until it is paid.

  6. 06

    Meta’s message charges

Meta charges for WhatsApp messages separately, at its published rates, which vary by country and message category and which Meta can change. Meta bills those charges to the payment method on your WhatsApp Business Account. Convomatic does not resell messages or add a margin to them, and our plan fees do not include them.

  7. 07

    Your content and data

You own the contacts, messages, media, templates, flows and other content you put into Convomatic (“your content”). You give us permission to host, copy, process and display your content only as needed to provide and support the service for you.

For personal information in your content, you are the data fiduciary (the controller) and we process it for you, as our Privacy policy describes. You confirm you have the right to give it to us.

You can export your data while your account is open, and ask us for a copy of anything the app’s exports do not cover.

We own the service itself — the software, its design and the Convomatic name. These terms do not give you any rights in it beyond using it.

  8. 08

    Connected services

The service connects to services run by others, such as Meta, Shopify, Razorpay and Google. Their own terms govern your use of them, and they are responsible for their services. A change or outage on their side can change or interrupt what Convomatic can do, and we are not responsible for it.

  9. 09

    Automation and AI features

Flows, the AI agent, the inbox writing tools and other automations act on the rules, knowledge and instructions you give them, and their answers can be incomplete or wrong. You are responsible for what is sent to your customers in your name, so review your setup and the messages it sends.

  10. 10

    Availability and support

We work to keep Convomatic available and to fix problems quickly, but we do not promise it will be uninterrupted or free of errors. We may pause it for maintenance and upgrades, and we may change, add or remove features. If we remove a feature you pay for, we will tell you in advance.

Support is by email at info@convomatic.com and on WhatsApp at +91 72019 28142.

  11. 11

    Suspension and ending the agreement

You can stop using Convomatic and close your account at any time by writing to info@convomatic.com. Export anything you want to keep first; after that we delete your content as our Privacy policy describes.

We may suspend or close an account that breaks these terms or Meta’s policies, puts the service or other users at risk, or has unpaid fees. Where we reasonably can, we will warn you first and give you a chance to put it right.

When the agreement ends, your right to use the service ends. The sections on fees owed, your content, liability, indemnity and governing law continue to apply.

  12. 12

    Warranties and liability

Except as these terms expressly say, the service is provided “as is” and “as available”, and we disclaim all implied warranties, including fitness for a particular purpose, to the extent the law allows.

Neither of us is liable to the other for indirect or consequential loss, or for lost profits, revenue, data or goodwill. Our total liability for all claims about the service is limited to the fees you paid us in the 12 months before the event that caused the claim.

Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud.

  13. 13

    Indemnity

You will compensate us for losses, and defend us against claims, that arise from your content, the messages you send, or your breach of these terms, Meta’s policies or the law.

  14. 14

    Governing law and disputes

These terms are governed by the laws of India. Before going to court, we both agree to try to settle any dispute by talking to each other for 30 days. A dispute that is not settled that way will be decided by the competent courts in India.

  15. 15

    Changes to these terms

We may update these terms. We will change the date on this page and, for changes that materially affect you, tell account owners by email or in the app at least 15 days before they take effect. Using the service after that means you accept the new terms.
